HSBC is preparing a significant risk transfer transaction, reportedly exceeding $1 billion, to hedge its exposure to loans backing AI data center construction, according to people familiar with the plans. The move follows a similar push from Barclays, which has been sounding out insurers' appetite to provide credit protection on more than $10 billion of data center financing. In a significant risk transfer, a bank effectively buys insurance on a slice of its loan book, paying an insurer or group of insurers a premium in exchange for covering losses if the underlying borrowers default — freeing up regulatory capital the bank would otherwise have to hold against that exposure.

## A broader rush to lay off AI credit risk

JPMorgan, Morgan Stanley, SMBC and MUFG have each been exploring comparable significant risk transfer deals, as banks that raced to underwrite AI infrastructure debt now look to free up balance sheet capacity by shifting some of that risk to insurers. HSBC's own data center lending book is relatively small by industry standards, but the bank appears intent on getting ahead of any credit deterioration in the sector rather than reacting to it after the fact.

HSBC chief executive Georges Elhedery has struck a cautious tone publicly, telling investors to be selective about which data center projects they finance and to scrutinize the quality and pricing of tenant contracts — a pointed reference to the long-term lease agreements that hyperscalers sign with data center operators, whose terms determine how much cash flow actually backs the debt lenders are extending against the properties.

## What it signals for the AI financing boom

The hedging push suggests lenders are increasingly hedging their own bets even as they continue financing the AI buildout, a split posture that reflects genuine uncertainty inside the banking industry about how durable AI infrastructure demand will prove to be. If insurers price this protection cheaply, it is a vote of confidence that the underlying loans are sound; if premiums come in high, that is itself a signal the market sees more risk in AI lending than banks have been pricing into the loans themselves.
